Terms of Service

1. Acceptance of These Terms

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. Additional terms may apply to specific features, and those terms become part of your agreement with us when you use those features.

2. Who May Use the Services

You must be at least eighteen (18) years old to use the Services. The Services are not directed to children, and we do not knowingly collect information from individuals under eighteen. You may not use the Services if you are barred from doing so under applicable law or if your account has previously been terminated by us.

3. Your Account

You are responsible for keeping your credentials confidential and for all activity that occurs under your account, including activity by anyone you give access to. Provide accurate information when you register and keep it current.

Tell us immediately at support@yantra.app if you suspect unauthorized access to your account. You may close your account at any time from your account settings or by contacting us.

4. Using the Services

Yantra provides AI-assisted search, chat, and automation. You submit prompts, files, and other material ("Inputs") and the Services generate results ("Outputs"). You grant us permission to process your Inputs to operate the Services and produce Outputs for you.

AI output is not guaranteed to be accurate. Outputs may be incomplete, out of date, or wrong, and similar prompts may produce different results for different users. You are responsible for reviewing Outputs before relying on them. Do not rely on the Services for legal, medical, financial, or other professional advice.

When you connect a third-party account, attach a browser tab, or ask Yantra to act on your behalf, you authorize us to take those actions for you, including sending messages, submitting forms, and making changes in connected services. You remain responsible for the actions you direct and for the consequences of those actions.

5. Paid Services

Some features require a paid plan, add-on, or usage credits. By purchasing, you authorize us and our payment processor to charge your payment method for the amounts shown at checkout, plus applicable taxes calculated from the billing information you provide.

Subscriptions renew automatically for the same term until you cancel. You may cancel at any time from your billing settings, and cancellation takes effect at the end of the current billing period. Plan limits, credit balances, and overage behavior are described on our pricing and billing pages.

Except where required by law or expressly stated otherwise, payments are non-refundable and we do not provide refunds or credits for partial periods, unused credits, or unused features. We may change our prices, and we will give notice before a change applies to your next renewal.

6. Acceptable Use

You agree not to use the Services to:

• break the law, infringe anyone's rights, or violate a third party's terms;
• send spam or unsolicited messages, or send commercial messages to people who have not consented to receive them;
• create or spread malware, attempt to gain unauthorized access to any system, or probe, scan, or disrupt the Services or their infrastructure;
• harass, defame, or target others, or generate sexual content involving minors or content that promotes violence, self-harm, or illegal activity;
• misrepresent Outputs as human-authored where that would deceive someone about a material fact;
• resell, sublicense, or provide the Services to third parties except as expressly allowed by your plan; or
• circumvent rate limits, usage limits, or access controls, or use automated means to extract data from the Services except through our documented APIs.

We may investigate and take action for any violation, including removing content, limiting functionality, and suspending or terminating accounts.

7. Rights We Grant You

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your own internal or personal purposes.

You may not copy, modify, reverse engineer, decompile, or create derivative works from the Services, remove proprietary notices, or use the Services or their Outputs to build, train, or improve a competing product or machine learning model, except to the extent that restriction is prohibited by applicable law.

8. Ownership and Your Content

We own the Services, including all software, models, interfaces, trademarks, and documentation, and all intellectual property rights in them. Nothing in these Terms transfers those rights to you.

You keep all rights in your Inputs and, as between you and us, in the Outputs generated for you. You grant us a limited license to host, copy, transmit, and process your Inputs and Outputs solely to operate, secure, and support the Services for you.

We do not use your Inputs or Outputs to train AI models, and we do not sell your content. Where the Services route requests to third-party model providers, those providers are bound by agreements that prohibit training on your content. See our Privacy Policy for details.

9. Third Party Services and Materials

The Services connect to third-party applications, websites, and content that we do not control. Your use of a third-party service is governed by that provider's terms and privacy policy, and we are not responsible for its content, availability, security, or practices. You are responsible for having the rights and permissions needed for any third-party account or website you connect or automate.

10. Communications, Email, and SMS

We may contact you by email, in-product notification, push notification, or text message about your account, security, transactions, and support requests. You may not opt out of essential service and security messages while your account is active, but you can opt out of promotional messages at any time.

If you provide a mobile number, text messages we send are governed by our SMS Terms of Service. Message and data rates may apply, and you can reply STOP to any message to stop receiving them.

When you use the Services to send messages to your own recipients, including email campaigns and SMS campaigns, you are the sender of those messages. You are responsible for obtaining and documenting consent, honoring opt-outs, and complying with the Telephone Consumer Protection Act, the CAN-SPAM Act, carrier requirements such as A2P 10DLC registration, and any other law that applies to you.

11. Disclaimers, Liability, and Indemnification

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty about the accuracy or reliability of Outputs. We do not warrant that the Services will be uninterrupted, secure, or error free.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if we have been advised of the possibility. Our total liability for all claims relating to the Services is limited to the greater of one hundred U.S. dollars ($100) or the amount you paid us in the twelve (12) months before the event giving rise to the claim.

You agree to indemnify and hold harmless Yantra and its officers, employees, and agents from any claim, loss, or expense, including reasonable attorneys' fees, arising from your use of the Services, your Inputs, messages you send through the Services, or your violation of these Terms or of any law or third-party right.

12. Arbitration and Class Action Waiver

Please read this section carefully. It affects your rights, including your right to file a lawsuit in court.

Informal resolution first. Before starting an arbitration, you agree to try to resolve the dispute informally by emailing support@yantra.app with a description of the dispute and the relief you seek. If we cannot resolve it within sixty (60) days, either of us may start arbitration.

Binding arbitration. Any dispute that is not resolved informally will be settled by binding individual arbitration administered by JAMS under its applicable rules, rather than in court. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. Disputes are brought only on an individual basis. Neither of us may bring a claim as a plaintiff or class member in a class, consolidated, or representative action, and the arbitrator may not consolidate claims or preside over a class proceeding.

Exceptions. Either of us may bring a claim in small claims court, and either of us may seek injunctive or other equitable relief in court to protect intellectual property rights.

Your right to opt out. You may opt out of this Section 12 by emailing support@yantra.app with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. Opting out does not affect any other part of these Terms.

13. Additional Provisions

Changes to the Services

We may add, change, or discontinue features at any time. We will give reasonable notice before a change that materially reduces a feature you are paying for.

Changes to These Terms

We may update these Terms. Material changes take effect when we post the revised Terms and update the "Updated and Effective" date above, and your continued use of the Services after that constitutes acceptance.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. On termination, the licenses granted to you end, and the sections that by their nature should survive, including ownership, disclaimers, liability, indemnification, and arbitration, will survive.

Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. For any dispute not subject to arbitration, you and we submit to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.

Export Compliance

You represent that you are not located in a country subject to a U.S. government embargo and that you are not on any U.S. government restricted-party list, and you agree to comply with applicable export control and sanctions laws.

Notice to California Residents

Under California Civil Code Section 1789.3, California users may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

Miscellaneous

These Terms, together with the Privacy Policy and any additional terms that apply to features you use, are the entire agreement between you and us about the Services. If a provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
